Creator Programme Terms
1. Who you are contracting with
utusori is operated by two affiliated companies: Premium Framework Inc., a Canadian corporation in Ottawa, Ontario, and Vodallo LLC in the United States. Which company settles your commission follows the customer's country. Commission on a Canadian order is settled by the Canadian company and paid in Canadian dollars. Commission on a United States order is settled by the US company and paid in US dollars. Nothing is converted on the way, so no exchange spread is taken out of your commission by us.
You take part as an independent contractor. Nothing here creates an employment relationship, a partnership, a joint venture, or an agency. You are responsible for your own taxes.
2. What you earn
Founding creators earn 20 percent of the eligible merchandise value of every order attributed to them, for 12 months from the date their code is activated. After that the rate becomes the standard 15 percent, which has no end date.
Your 12 months starts on activation, not on the day you applied or the day you were approved. If our production schedule moves, your 12 months moves with it.
Eligible merchandise value excludes tax, shipping, duties, gift wrapping and any other non-merchandise charge. It is calculated after any discount the customer applied.
3. How orders are attributed to you
You receive a personal code and a tracked link.
- Your code is the primary method and has no time limit. If a customer enters it at checkout, the order is attributed to you whenever that happens.
- Your link attributes on a last-click basis for 30 days. If someone clicks your link and buys within 30 days, the order is yours, unless they click another affiliate's link after yours.
Where a code and a link disagree, the code wins.
4. What does not pay
Commission is not earned, and is reversed if already recorded, on:
- orders that are cancelled, returned, refunded or charged back;
- self-referrals, meaning purchases by you, by your household, or by any account you control;
- orders placed with a stolen, guessed, or publicly leaked code;
- duplicate or manipulated attribution;
- orders arising from promotion prohibited under section 6;
- products we have identified in writing as non-commissionable.
Commission becomes confirmed only after the customer return window has closed and the order still stands. Until then it is pending and may be reversed.
5. How and when you are paid
Confirmed balances are paid monthly, on a fixed schedule, once your balance reaches CAD 35 or USD 25. Below that the balance rolls into the next month rather than being lost. If you leave the programme with a confirmed balance under the minimum, we still pay it.
You are responsible for giving us accurate payout details. We are not liable for funds sent to a payout account you gave us incorrectly. Fees charged by your payout provider are yours.
The first 20 founding affiliates whose first eligible order clears the return window receive a one-time bonus of USD 25, about CAD 35, added to their payout balance. The qualifying order must be CAD 90 or more in eligible merchandise, from a customer new to utusori. One bonus per person, not per code or per account.
6. What you must not do
These are grounds for reversal of commission and for termination:
- Trademark bidding. Do not bid on "utusori" or close variants in paid search, and do not use our name in display URLs or ad domains.
- Coupon and deal-site hijacking. Do not post your code to coupon aggregators, deal forums, cashback sites, or browser extensions that inject codes at checkout.
- Spam. No unsolicited email, SMS, direct messages, or comment spam.
- Misrepresentation. Do not claim to be utusori, to speak for utusori, or to be an employee. Do not invent discounts, stock levels, product claims or endorsements.
- Undisclosed promotion. You must disclose the commercial relationship clearly and up front, in line with the law where your audience is. In Canada that is the Competition Bureau's guidance; in the United States, the FTC endorsement guides.
- Harmful placement. No promotion alongside content that is hateful, sexually explicit, violent, or aimed at children.
- Automated traffic. No bots, click farms, or artificially generated traffic of any kind.
7. Your content and our brand
You keep ownership of content you make. You grant us no licence by default. If we want to use your content in our own advertising, we will ask you and agree it in writing, separately.
You may use our name, logo and approved product images to promote utusori while you are an active affiliate. That permission ends when your participation ends.
8. Gifting and paid work are separate
Gifting is selective, separate from this programme, and carries no posting obligation. Paid work is separate again, with deliverables and usage agreed in writing. Being an affiliate does not entitle you to either, and receiving either does not change your commission rate.
9. Ending your participation
You may leave at any time, for any reason, by telling us. We will pay your confirmed balance.
We may suspend or end your participation, with notice, if you breach these terms, if your promotion creates legal or reputational risk for us, or if the programme itself is discontinued. Where a breach under section 6 is serious, we may act without notice and withhold commission arising from that breach.
Ending participation does not affect commission already confirmed and lawfully earned.
10. Changes to these terms
We may change these terms. If a change affects your rate, your attribution, or how you are paid, we will tell you before it takes effect, and it will not apply retroactively to commission already earned. Your locked founding rate is not changed by a change to these terms.
11. Law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of laws rules. This does not remove any consumer or statutory right you have where you live.
